Who needs it
- Any company whose director has resigned, been removed or died.
- Companies with corporate directors as well as individual ones.
What you need before you start
- The company's authentication code, if you file online.
- The director's full name, and date of birth for an individual.
- The date the appointment ended.
How to file TM01
- 1Confirm the appointment has actually ended: a resignation letter, a shareholder resolution or the date of death.
- 2Make sure at least one director remains. A private company must always have one.
- 3File the TM01 online, or print the paper TM01 full size on white A4 and post it. Companies in the PROOF scheme must file online.
- 4Do it within 14 days of the change.
- 5Check whether the person was also a PSC or secretary, and file those changes too.
What the TM01 does
Companies House describes the TM01 as the form to notify it of the termination of a director's appointment, for an individual or a corporate director. It ends the appointment on the public register from the date you give.
GOV.UK's running-a-company guidance says changes to directors must reach Companies House within 14 days.
Resolutions and shareholders
A director who resigns needs no vote. Removing a director is different: GOV.UK lists it among changes that may need shareholders to pass a resolution. Check the articles of association.
Paper and the PROOF scheme
The TM01 is still available on paper, but online is quicker. If the company is in the PROOF (PROtected Online Filing) scheme, Companies House says not to use the paper form.
Common mistakes
- Removing the last director. The company needs at least one.
- Removing a director without a resolution where shareholders must approve it. GOV.UK lists removing a director as a change that may need one.
- Using the paper form when the company is in PROOF. Companies House won't accept it.
- Forgetting the person's other roles: PSC information is updated separately.
